Agreement Overview

These Terms of Service (“Terms”) constitute a binding agreement between you and Silent Partner LLC (“Silent Partner,” “we,” “us,” or “our”). By accessing or using our services, including our websites and applications, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our services.

1. Definitions

• “Silent Partner LLC” means Silent Partner AI, the owner and operator of all Services and products.
• “Services” means all products, software, and services provided by Silent Partner LLC, including our applications, AI tools, and platforms.
• “Customer” means any individual or entity that subscribes to or uses our Services.
• “Authorized User” means individuals authorized by the Customer to access and use the Services.
• “Customer Data” means all data, content, and information submitted by or on behalf of the Customer through the Services.

2. Use of Services

2.1 Access and Authorization

Subject to these Terms, Silent Partner LLC grants you a limited, non-exclusive, non-transferable right to access and use our Services. Only Authorized Users may access the Services, and you are responsible for all activities under your account.

2.2 Customer Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Obtain all necessary consents for data you provide to us
• Comply with all applicable laws and regulations
• Use the Services only for lawful purposes

2.3 Prohibited Uses

You may not:

• Reverse engineer, decompile, or disassemble the Services
• Resell, sublicense, or redistribute the Services
• Send unlawful, harassing, or deceptive content through the Services
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to systems or networks

3. SMS Notifications

3.1 SMS Opt-In Consent

By registering for our services and providing your phone number, you may opt in to receive SMS text messages from Silent Partner LLC for the following purposes:

• System alerts (service status, maintenance, notifications)
• Incoming email notifications
• Error alerts (account issues, failed operations)

3.2 Message Types and Frequency

SMS messages are sent for system and operational purposes only. No marketing, promotional, or advertising content is sent via SMS. Message frequency varies based on system activity and your account usage (typically 0-5 messages per month).

3.3 Opt-Out Instructions

You may opt out of SMS notifications at any time by:

• Replying “STOP” to any SMS message from Silent Partner LLC
• Emailing support@silentpartner.ai
• Managing SMS preferences in your account settings

You will receive a confirmation acknowledging your opt-out request. After opting out, you will no longer receive SMS notifications.

3.4 Data Practices

Your phone number is used exclusively for sending SMS alerts and notifications. We do not share your phone number with third parties without your express consent, except as required by law.

3.5 Service Limitations

Silent Partner LLC does not warrant that SMS messages will be delivered without delay or error. We are not liable for delays, non-delivery, or any damages arising from SMS service interruptions.

4. Fees and Payment

Fees for our Services are as agreed upon in your service agreement or as displayed on our website. Payment terms include:

• Charges begin upon service activation
• Payment is due according to your billing cycle
• All fees are non-refundable unless otherwise specified
• You are responsible for all applicable taxes
• We may modify pricing with 30 days' notice

5. Term and Cancellation

These Terms remain in effect while you use our Services. Either party may cancel at any time by providing written notice via email to info@silentpartner.ai.

Upon cancellation:

• Access to Services will terminate at the end of your current billing period
• Customer Data will be deleted within 30 days, except as required by law
• Inactive accounts may be deactivated after 6 months of inactivity

6. Intellectual Property

Our Property: Silent Partner LLC retains all rights, title, and interest in the Services, including all software, algorithms, and proprietary technology.

Your Data: You retain ownership of your Customer Data. By using our Services, you grant Silent Partner LLC a license to process your data as necessary to provide the Services.

7. Confidentiality

Both parties agree to protect confidential information disclosed during the course of business. Confidential information includes business plans, pricing, customer lists, and technical information.

8. Warranties and Disclaimers

Our Warranty: We warrant that the Services will perform substantially as described in our documentation.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILENT PARTNER LLC'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL SILENT PARTNER LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

10. Indemnification

You agree to indemnify and hold Silent Partner LLC harmless from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Modifications

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated via email or through the Services. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Whatcom County, Washington.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Silent Partner LLC regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent.
